Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the ramen ai websites, dashboards, application programming interfaces, policy execution services, managed inference, software, and related services (collectively, the “Services”). By creating an account, executing an order form, or using the Services, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

1. Business use and authority

The Services are offered for professional and business use. You represent that you are legally able to enter into these Terms and, if acting for an organization, that you have authority to bind that organization. You are responsible for account users, credentials, API keys, provider keys, and activity conducted through your account.

2. Services and changes

ramen ai provides policy evaluation, governance receipts, integrations, managed inference, and related platform capabilities. Features and entitlements vary by plan and may also be described in an order form. We may improve, replace, or discontinue features, provided that we will not materially reduce a paid Service during its committed subscription term without reasonable notice or an appropriate remedy.

3. Plans, fees, and taxes

Paid subscriptions are billed according to the selected plan or order form. Unless otherwise stated, fees are due in advance, renew automatically for successive terms, and are non-refundable except where required by law or expressly stated in an order form. You are responsible for applicable taxes other than taxes based on our net income. Usage beyond plan entitlements may be blocked, require an upgrade, or be billed where an order form permits overages.

4. Customer content and provider credentials

You retain ownership of prompts, policies, configurations, records, and other content you submit to the Services (“Customer Content”). You grant ramen ai the limited rights necessary to process Customer Content and operate, secure, support, and improve the Services. You must have all rights and permissions required to submit Customer Content. Bring-your-own-key (“BYOK”) credentials remain your responsibility and must not be embedded in public code or shared with unauthorized parties.

5. Fair Use and Managed Inference

Managed inference and other managed compute are provided subject to Fair Use limits, including token-volume caps, payload-size constraints, workload patterns, and reasonable capacity protections. These controls preserve service availability and prevent one customer’s usage from degrading the Services for others.

ramen ai reserves the right to throttle or reject workloads, require BYOK, move an account to a different commercial arrangement, or suspend managed inference or the Services when usage is abusive, creates security or availability risk, repeatedly exceeds applicable token-volume caps, or uses unusually large, automated, or sustained payload sizes inconsistent with the selected plan. Where practical and safe, we will provide notice and an opportunity to reduce usage or upgrade before suspension.

6. Acceptable use

You must not use the Services to:

  • Violate law, regulation, sanctions, or the rights of another person.
  • Transmit malware, exploit vulnerabilities, interfere with service operation, or bypass access controls.
  • Probe or benchmark the Services for competitive publication without written permission.
  • Resell, sublicense, or provide unauthorized third-party access to the Services.
  • Use the Services to make unlawful decisions or process data without a valid legal basis.
  • Misrepresent an automated output as professional legal, medical, financial, or regulatory advice.

7. Security and confidentiality

Each party will use reasonable safeguards to protect the other party’s confidential information and will use it only to perform obligations or exercise rights under these Terms. You must promptly notify us of suspected unauthorized account access. No system is completely secure, and you remain responsible for configuring your applications, access controls, and downstream actions safely.

8. Intellectual property

ramen ai and its licensors retain all rights in the Services, documentation, software, designs, and underlying technology. Except for the limited right to use the Services during an active subscription, no rights are transferred to you. Feedback may be used without restriction or obligation, provided it does not identify you or disclose your confidential information.

9. Third-party services

The Services may interoperate with identity, payment, model-provider, cloud, or integration services controlled by third parties. Your use of those services is governed by their terms. ramen ai is not responsible for third-party services, their availability, or changes they make.

10. Suspension and termination

We may suspend access when reasonably necessary to address security threats, unlawful use, nonpayment, material breach, or risk to the Services or other customers. Either party may terminate for an uncured material breach. On termination, your right to use the Services ends and outstanding fees become due. Provisions that by their nature should survive termination will survive.

11. Disclaimers

The Services are provided “as is” and “as available” to the maximum extent permitted by law. ramen ai does not warrant that the Services will be uninterrupted or error-free, or that a policy evaluation establishes legal or regulatory compliance. The Services support customer governance processes but do not replace professional judgment, independent validation, or legal advice.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or data. Except for payment obligations, confidentiality breaches, infringement, fraud, or liabilities that cannot lawfully be limited, each party’s aggregate liability arising from the Services will not exceed the fees paid or payable for the Services during the twelve months preceding the event giving rise to the claim.

13. Indemnification

You will defend and indemnify ramen ai against third-party claims arising from Customer Content, your applications, your violation of law, or your material breach of these Terms. We will provide reasonable notice and cooperation and allow you to control the defense, subject to our right to participate and approve any settlement that imposes obligations on us.

14. Updates to these Terms

We may update these Terms to reflect changes in the Services, law, or business practices. Material changes will be posted with a new effective date and, where appropriate, communicated through the Services. Continued use after the effective date constitutes acceptance of the updated Terms.
